Terms of Service

These Terms of Service ("Terms") govern your access to and use of the REUW real estate underwriting platform ("Platform"). By accessing or using the Platform, you agree to be bound by these Terms.

1. Platform Access & Eligibility

REUW is currently in closed beta. Access is granted by invitation or approval only. You must be at least 18 years old and authorized to act on behalf of your organization to use the Platform. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

2. Acceptable Use

You agree to use the Platform solely for legitimate real estate underwriting and investment analysis purposes. You shall not:

  • Attempt to reverse engineer, decompile, or extract source code from the Platform
  • Share, transfer, or sublicense your account access to unauthorized individuals
  • Upload malicious files, scripts, or content designed to disrupt the Platform
  • Attempt to access other users' data, deals, or account information
  • Use the Platform for any illegal activity or in violation of applicable laws
  • Scrape, crawl, or programmatically extract data from the Platform without written consent
  • Circumvent rate limits, authentication, or other security measures

3. Data Ownership

You retain full ownership of all property data, financial statements, rent rolls, and other proprietary information you upload to the Platform ("Your Data"). By uploading Your Data, you grant REUW a limited license to process, analyze, and store it solely for the purpose of providing Platform services to you.

REUW retains rights to aggregated, anonymized market data derived from Platform usage for the purpose of improving analytical models, market databases, and Platform features. This aggregated data cannot be traced back to individual deals or users.

4. Intellectual Property

The Platform, including its software, algorithms, machine learning models, user interface, documentation, and all associated intellectual property, is owned by REUW. Nothing in these Terms grants you any right, title, or interest in the Platform beyond the limited right to use it in accordance with these Terms.

5. Financial Projections Disclaimer

REUW provides analytical tools, financial models, and market data for informational purposes only. All projections, proforma analyses, return calculations, and market estimates are based on user-provided inputs and available data. They are not guarantees of future performance.

You are solely responsible for independently verifying all assumptions, data, and analyses before making any investment decisions. REUW does not provide investment advice, and Platform outputs should not be construed as recommendations to buy, sell, or hold any real estate asset.

6. Service Availability

We target high availability but the Platform is provided "as-is" during the beta period. We may perform maintenance, deploy updates, or experience downtime without prior notice. We are not liable for any losses resulting from Platform unavailability.

7. Limitation of Liability

To the maximum extent permitted by law, REUW and its officers, directors, employees, and affiliates shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, revenue, data, or business opportunities, arising from your use of or inability to use the Platform.

Our total aggregate liability for any claims arising from these Terms or your use of the Platform shall not exceed the fees paid by you to REUW in the twelve (12) months preceding the claim.

8. Indemnification

You agree to indemnify and hold harmless REUW and its officers, directors, employees, and agents from any claims, damages, losses, or expenses (including reasonable attorneys' fees) arising from your use of the Platform, violation of these Terms, or infringement of any third-party rights.

9. Account Termination

We may suspend or terminate your account at any time for violation of these Terms, security concerns, or at our discretion during the beta period. You may request account deletion at any time by contacting support. Upon termination, your deal data will be permanently deleted within 30 days.

10. Modifications to Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated via email or Platform notification at least 14 days before taking effect. Continued use of the Platform after changes take effect constitutes acceptance of the updated Terms.

11. Governing Law

These Terms shall be governed by and construed in accordance with applicable law, without regard to conflict of law principles. Any disputes arising from these Terms or your use of the Platform shall be resolved through binding arbitration.
